Paying for the participation in the KINZA Dubai forum through the official website https://dubai.kinza360.com

AUDEN HOLDINGS LTD Company, registered at Vasili Michailidi 9, 3029 Limassol, Cyprus, with company number HE429691 (hereinafter referred to as AUDEN HOLDINGS LTD), offers to conclude this Agreement to the unlimited number of persons willing to purchase tickets to the Event.

Paying for tickets by the Buyer under this Agreement is regarded as an acceptance of the offer, which is considered equivalent to the conclusion of the Agreement on the terms and conditions provided for in this Agreement. The agreement that is concluded by accepting this offer does not require bilateral signing and is valid in the electronic form.

The text of this contract offer is posted on the https://dubai.kinza360.com website. AUDEN HOLDINGS LTD has the right to change this contract offer at any time. Terms and conditions of the contract offer cannot be changed otherwise than by publishing the amended document on the Website. The buyer is advised to carefully read the text of this contract offer. In the event the Buyer does not agree with any clause of the Offer, he/she should not purchase tickets sold by the Seller.

In order to conclude a Ticket purchase Agreement, a person must accept this Offer, that is, express his consent to conclude the agreement on terms and conditions specified in this offer (accept this contract offer). To do so, the Buyer has to:

– use the buttons “Buy a ticket”, “Participate”, “I’m in”, or “Want to KINZA” on the main page of the Website;

– indicate the number of tickets;

– indicate the Buyer’s necessary data for making a payment and receiving the ticket;

– confirm consent to purchase tickets;

– pay for tickets in full.

The performance of such actions by the Buyer means full and unconditional acceptance of all the terms and conditions of this offer without any exceptions or additions. Tickets are sold exclusively on the terms of this offer, in case of its full and unconditional acceptance. Partial acceptance, as well as acceptance on other terms, is not allowed.

Legal entities/sole traders can pay for tickets according to the agreement with the Seller by any means that are not prohibited by the legislation of the Russian Federation. The rules of this offer apply to them, unless otherwise expressly provided in the relevant agreement between the Seller and the legal entity/sole trader. In order to purchase tickets on behalf of a legal entity / sole trader, the Buyer must address the representatives of the Organiser in the contacts section listed on the Website.

Confirmation of the conclusion of the Agreement is a letter to the e-mail address specified by the Buyer when issuing tickets on the Website, or receiving tickets in another way when ordering a ticket through representatives of the Organiser.

The sold tickets cannot be returned, and the refusal to execute the Agreement is not accepted on the basis of the Buyer’s disagreement with the terms and conditions of this offer after the acceptance of the offer and the conclusion of this Agreement. Refunds for sold tickets are possible only in the manner and under the conditions established by this offer.

TERMS AND DEFINITIONS

The parties use these terms in the following meaning:

Seller (Organiser) – AUDEN HOLDINGS LTD Company, registered at Vasili Michailidi 9, 3029 Limassol, Cyprus, with company number HE429691, which is hosting the Event and responsible for its holding to persons entitled to attend the Event on the basis of the tickets presented.

Buyer – an individual or legal entity with the rights to make transactions for the purchase and sale of Goods/Services, who applied to the Organiser in order to purchase tickets for the Event

Event – the conference (forum) “KINZA Dubai”, information about which is posted by the Organiser on the Website. Date and place of the Event: from October 26, 2022 to October 27, 2022, Dubai, Festival Arena.

Website – an Internet resource owned by the Seller with the following domain: https://dubai.kinza360.com.

Radario Widget – an electronic sales tool (banner, poster, button) provided by RADARIO LLC for the technical organisation of ticket sales through the Website.

Event Cloud Widget – an electronic sales tool (banner, poster, button) provided by EVENTCLOUD SERVICES LIMITED for the technical organisation of ticket sales through the Website.

1. SUBJECT OF THE AGREEMENT

1.1. The subject of this Agreement is the sale by the Seller to the Buyer of entrance tickets to the Event, in the manner and on the terms and conditions provided for in this Agreement. Information about the Event and available tickets is posted by the Seller on the Event Website.

2. RIGHTS AND OBLIGATIONS OF THE PARTIES

2.1. The Seller is obliged to:

2.1.1. Provide the Buyer with entrance tickets to the Event on condition of full payment for the tickets.

2.1.2. Provide the Buyer with full information about the Event, as well as about its cancellation or rescheduling.

2.1.3. To provide the Buyer with services in the amount, manner and terms stipulated by this Agreement, the programme of the event located on the Website and entrance tickets.

2.1.4. Ensure that the quality of the services provided to the Buyer complies with all the requirements for such services in accordance with the provisions of the current legislation of the Russian Federation and this Agreement.

2.2. The seller is entitled to:

2.2.1. Require the Buyer to fully pre-pay for tickets and comply with all the terms and conditions of this Offer.

2.2.2. If the Buyer disagrees with the terms and conditions of this Offer, refuse to sell tickets and provide services.

2.2.3. Set and change the cost of tickets unilaterally without prior notice to the Buyers.

2.2.4. Without notice, refuse to participate in the Event if the Buyer (visitor) fails to comply with any of the conditions of this Offer.

2.3. The buyer is obliged to:

2.3.1. When issuing tickets, provide accurate and complete information. Do not post, publish, transmit or distribute false or deliberately false information that may cause any harm to the Organiser or its business reputation.

2.3.2. Comply with the terms of this Agreement, pay for tickets in the amount and in the manner prescribed by this Agreement.

2.3.3. Comply with the rules of conduct established by the Organiser at the Event, not to take actions that prevent its normal conduct, work of the Organiser’s staff and the participation of other visitors in the Event.

2.3.4. The Buyer guarantees that the tickets are purchased for personal non-commercial use.

2.4. The buyer has the right to:

2.4.1. Receive tickets on condition of on-time payment and compliance with the terms of the Offer.

2.4.2. Require timely, complete and high-quality fulfilment by the Seller of obligations under this Agreement.

2.4.3. Receive information about the rules for the tickets sale and other information regarding the Event, including using the Site or by contacting the Organiser.

2.4.4. Send feedback about the work of the Organiser to the contacts listed on the Site.

3. PROCEDURE FOR ORDERING AND ISSUING TICKETS

3.1. When ordering tickets for the Event through the Website, the Buyer is obliged to provide the following information: full name, phone number and email address.

3.2. The Seller does not edit information about the Buyer and is not responsible for the content and accuracy of the information provided by the Buyer when issuing tickets.

3.3. Once an order has been completed, an identification number (“order number”) is automatically assigned to the order. After placing an order, the Buyer receives an order confirmation email to the email address specified during checkout.

3.4. The Buyer chooses the method of payment for participation when placing an order independently from those offered by the Seller. The buyer is obliged to pay for the tickets in accordance with the chosen method.

3.5. An order paid for and recorded in the database is a guarantee that the Buyer is a participant of the Event with the selected category of tickets (“Online”, “Basic”, “Business”, “VIP”). It is allowed to purchase tickets using a promotional code from the organiser with any denomination.

3.6. By placing an order, the Buyer thereby expresses his consent to receive messages about the Event of an informational or promotional nature by e-mail and / or by phone call.

4. PROCEDURE FOR PAYMENT

4.1. The cost of tickets under this Agreement is determined in accordance with the prices in force at the time of payment and is indicated on the main page of the Website.

4.2. The Buyer pays online using the Radario Widget electronic sales tool available on the Site, as well as the Event Cloud Widget payment provider. Payment is made by the Buyer in the amount of 100% of the cost of tickets using one of the proposed payment methods (bank card VISA, MASTERCARD, MIR, bank cards of other payment systems).

4.3. Payment security is ensured by using the SSL protocol to transfer confidential information from the Buyer to the system server for further processing. Further transfer of information is carried out through closed banking networks of the highest degree of protection. The processing of the Buyer’s confidential data is received in encrypted form (card details, registration data, etc.) and is carried out in the processing centre. Thus, no one, including the Seller, can receive the personal and banking data of the Buyer, including information about his purchases made in other stores and websites.

4.4. In case of purchase of tickets by invoice, payment is made within 5 (five) business days from the moment the Seller issues an invoice for the payment. Obligations to transfer funds by the Buyer in this case are considered fulfilled from the moment the funds are received on the Seller’s bank account.

5. REFUNDS

5.1. The Seller makes a refund for the purchased tickets based on the relevant application of the Buyer and in accordance with the following conditions:

5.1.1. The Buyer sent a request for a refund no later than 1 month (30 calendar days) before the start of the Event. The buyer has the right to a refund of the amount paid minus the commission / service charge in accordance with clause 5.6. of this Agreement.

5.1.2. Within a period less than 1 month (30 calendar days) before the start of the Event, applications for a refund are not accepted and funds for purchased tickets are non-refundable.

5.2. To refuse participation and return the money paid, the Buyer is obliged to contact the Site support service at info@kinza.pro. The application is accepted in free form with the title of the subject of the letter “I ask you to return the funds for participation in Kinza” and the contact details specified when issuing the ticket.

5.3. In case of a refund, the Buyer is not allowed to attend the Event.

5.4. The moment of refusal to participate in the Event is considered to be the date of filing an application for a refund.

5.5. The organiser has the right to refuse participation without giving reasons and without notifying the user. In this case, the Organiser returns to the buyer funds paid for participation in full. A refund is equivalent to a notice of refusal to participate.

5.6. When applying for a refund, the Buyer automatically agrees that the payment commission and / or service fee will be deducted. The commission is withheld by returning a lesser amount than the amount that was paid for participation in the Event. The maximum refund fee may be up to 15% depending on the payment method chosen by the Buyer when purchasing the Tickets. The commission percentage for a refund is determined by the percentage of tax fees and the percentage for accepting funds by payment systems.

5.7. The response about the decision regarding the application for a refund is made in the form of a response to the email through which the Buyer submitted the application.

5.8. The period for consideration of an application for a refund is up to 15 working days from the date of receipt of the application for a refund. In the event that the application was submitted by the Buyer in compliance with these conditions, the refund is made by the Seller within 30 calendar days from the date of consideration on the payment details specified when purchasing tickets.

6. POSTPONED/CANCELLED EVENT

6.1. Refund of the cost of tickets is carried out only in case of cancellation or postponement of the Event due to the fault of the Organiser.

6.2. If the Event is cancelled due to the fault of the Organiser or the dates of the Event are postponed, and if the Buyer does not agree to change the time and / or place of its holding, the full cost of the tickets will be returned to the Buyer. Refunds to the Buyer are carried out in the manner prescribed by paragraphs 5.2.-5.4, 5.7-5.8. of this Offer.

7. FORCE MAJEURE

7.1. The Parties are released from liability for non-fulfillment or improper non-fulfillment of obligations under this Agreement, if such non-fulfillment was the result of force majeure circumstances (force majeure) that arose after the conclusion of the Agreement as a result of extraordinary events that the Parties could neither foresee nor prevent by reasonable measures.

The Parties are released from liability for failure to perform or improper performance of their obligations under this Agreement, if such failure was the result of prohibitive and restrictive acts of state authorities and / or local authorities, as well as in the event that the Parties receive recommendations, warnings related to the spread / threat of the epidemic (including the new coronavirus infection (2019-nCoV)), preventing the execution of this Agreement.

7.2. In the event of the occurrence of the events specified in clause 7.1, the Seller has the right to appoint a different date and / or place for the Event, or refuse to hold it, returning the amount paid under the Agreement to the Buyer within 30 (thirty) calendar days from the date of such decision.

7.1.1. If the Event is postponed, the Seller, no later than 14 calendar days from the date of termination of the above circumstances, posts on the Website information about the postponement, as well as information about the date and time of the Event after the termination of the above circumstances.

7.1.2. If it is impossible to determine the date and time of the Event within the specified period, the Seller posts on the Event Website information about the postponement of the Event, the date and time of which will be announced by the Seller no later than 6 months from the date of termination of the above circumstances.

7.1.3. If the Seller, within 6 months from the date of termination of the above circumstances, did not determine the date and time of the rescheduled Event and did not post information about it on the Event Website, the Event is considered cancelled, and the funds paid by the Buyer are subject to return upon receipt of the corresponding request from the Buyer. You can apply for a refund at any time, but no later than 6 months after the restrictions are lifted.

7.1.4. Rescheduled Events will not be refunded.

8. PROCESSING OF PERSONAL DATA

8.1. The Buyer confirms that he has read the Personal Data Processing Rules (Privacy Policy) of this Site, located at: https://dubai.kinza360.com/privacy-policy/.

8.2. By accepting the terms of this offer, the Buyer agrees to the processing of his personal data in order to fulfil the Seller’s obligations related to the sale of tickets, other obligations under this agreement, improve the quality of services provided, and in order to comply with the requirements of the legislation of the Russian Federation.

8.3. The Buyer agrees that any personal data of the Buyer specified by him during the ordering process is transferred for the execution of this Agreement.

8.4. Similarly, the Buyer confirms that when placing an order in the name of third parties, he received the consent of such third parties to provide the Seller with similar personal data. The processing of personal data of the Buyer and third parties is carried out in accordance with the legislation of the Russian Federation. By agreeing to the terms of this Offer, the Buyer agrees to receive informational and advertising messages, and also confirms that third parties whose personal data were specified by the Buyer during the ordering process also agreed to receive such messages from the Seller.

8.5. The User agrees that in order to fulfil this Agreement, the Seller has the right to transfer personal data to third parties, payment agents in particular.

9. RESPONSIBILITY

9.1. For non-fulfillment or improper fulfilment of the terms of this Offer, the Parties shall be liable in accordance with the current legislation of the Republic of Cyprus.

9.2. The Organiser is not responsible for the non-compliance of the Event with the Visitor’s expectations.

9.3. The Organiser is not responsible for delays, failures or interruptions in the operation of the Site, technical platforms and transport networks or communication networks due to the actions and (or) inaction of third parties providing communication or energy supply services, or arising from other circumstances for which the Organiser is not responsible.

9.4. The Buyer is solely responsible for the consequences resulting from the provision of false or deliberately false information, and is responsible for the violation of the rights and interests of other persons as a result of such actions, for illegal actions with bank cards or other means of payment, for the correctness of the indication of his bank account number, card, the expiration date of your bank card, the amount of funds to be transferred, as well as other necessary data.

9.5. The Buyer is solely responsible for any actions of third parties committed on behalf of the Buyer through the use of the Buyer’s bank card.

9.6. Since the Seller does not transfer funds and does not provide any banking services, the bank and the Buyer bear full responsibility for the correctness of the transfer.

9.7. In the event of a protest against a bank card payment, regardless of the reason for the protest, the Buyer undertakes to reimburse the Seller for all costs and losses associated with processing the protest, including the full amount of damages incurred (the amount of payment previously transferred by bank card), fines of international payment systems, processing bank card payments, documentation processing costs, legal costs and any other costs and losses actually incurred.

9.8. Disputes arising from the execution of this Offer shall be resolved in the complaint procedure. The claim is subject to transfer to the Seller in writing with the attachment of documents substantiating the claims, no later than 20 (twenty) calendar days from the moment the grounds for its presentation arise. The received claim is considered by the Organiser within 10 (ten) working days from the moment of its receipt. If disputes and disagreements between the Parties cannot be settled through negotiations, they are subject to resolution in court at the location of the Seller.

9.9. The amount of liability of the Seller in connection with non-performance or improper performance of this Offer cannot exceed the total cost of tickets.
